These Terms & Conditions (the “Terms”) govern your use of this website and the consulting services provided by XHealth Solution Company Ltd. (“XHealth”, “we”, “us” or “our”), a company established in the Hong Kong Special Administrative Region. By browsing this website, submitting an enquiry or diagnosis form, or engaging our services, you agree to these Terms. These Terms form a legal agreement between you and XHealth. They apply together with our Privacy Policy and any specific proposal, quotation or engagement letter we agree with you in writing. All of our services are advisory and creative in nature. The scope, deliverables, timeline and fees for any engagement are set out in the applicable proposal or quotation. We may decline or discontinue any enquiry or engagement at our discretion. 我們的所有服務均屬顧問及創意性質。任何委聘的服務範圍、交付成果、時間表及費用，以適用的建議書或報價為準。我們保留酌情拒絕或終止任何查詢或委聘的權利。
Submitting a form on this website — including a diagnosis application, a founder-session request or a contact enquiry — is a free application only. It does not create a binding contract and no fee is charged at the point of submission. 在本網站提交任何表單——包括診斷申請、創辦人約見申請或聯絡查詢——僅屬免費申請。提交本身並不構成具約束力的合約，提交時亦不會收取任何費用。
A binding engagement is formed only once we have confirmed the scope and quotation with you (typically within 24 hours for a diagnosis) and you have accepted it and, where applicable, paid the required deposit. Quotations are valid for the period stated in them, or for 30 days if no period is stated, and may be revised if the information you provide changes materially. 具約束力的委聘，須待我們與您確認服務範圍及報價（診斷一般於 24 小時內），並經您接受、（如適用）繳付所需訂金後，方告成立。報價於其列明的有效期內有效，若未列明則為 30 天；如您所提供的資料出現重大變動，報價可予修訂。
All fees are quoted and payable in Hong Kong Dollars (HK$) and, unless stated otherwise, are exclusive of any third-party costs (for example advertising spend, stock media, fonts, hosting or domain fees) which are billed at cost or paid by you directly. 所有費用均以港元（HK$）報價及支付；除另有說明外，不包括任何第三方費用（例如廣告投放費、素材／圖庫、字型、寄存或網域費用），該等費用按成本轉付或由您直接支付。
After we confirm your quotation, a 50% deposit is payable to secure your slot and rate; the balance is payable before the report is delivered. 在我們確認報價後，須繳付 50% 訂金以鎖定名額及價格；餘款須於報告交付前付清。
The one-to-one founder session is charged as a one-off fee, payable in full to confirm the booking. 一對一創辦人策略會按單次費用收取，須全額付清以確認預約。
We accept FPS, PayMe, bank transfer, cheque and credit card. A payment link or details will be sent to you directly (for example on WhatsApp) after your quotation is confirmed. Ongoing or retainer services are invoiced as set out in the relevant proposal, and invoices are payable within the stated period. 30-day credit. If you engage XHealth for any paid service within 30 days of receiving your diagnosis or founder session, the diagnosis or session fee is credited in full against that engagement. The credit applies once, is non-transferable, cannot be exchanged for cash, and is forfeited if the 30-day period lapses. 30 天抵扣。若您於收到診斷或創辦人策略會後 30 天內委聘 XHealth 任何付費服務，該診斷或會面費用可全額抵扣該項委聘。抵扣只適用一次、不可轉讓、不可兌換現金；如逾 30 天期限則作廢。
Promotional offers. Introductory offers — such as the free Brand Health Snapshot (limited monthly slots, reviewed by hand) and the half-price In-Depth Diagnosis for the first ten applicants — are subject to availability and are allocated by order of submission. Our reports, scores, recommendations and creative deliverables represent our professional opinion based on the information available to us and the market at the time. Marketing and brand outcomes depend on many factors outside our control — including your market, competitors, budget, execution and third-party platforms. 我們的報告、評分、建議及創意交付成果，均為我們根據當時所掌握的資料及市場情況所作的專業意見。營銷與品牌成效受眾多我們無法控制的因素影響——包括您的市場、競爭對手、預算、執行情況及第三方平台。
Accordingly, we do not guarantee any specific business result (such as particular search rankings, traffic, enquiries, conversions or revenue). We retain ownership of our pre-existing materials, tools, methodologies, know-how and any working files or concepts not selected in the final deliverables. Each party will keep the other's non-public business information confidential and use it only for the purpose of the engagement. This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law or a regulator. You may reschedule an interview or session by giving us reasonable advance notice. Because work often begins as soon as an engagement is confirmed — including research, scheduling and preparation — deposits are generally non-refundable once work has started. If we are unable to deliver a service we have been paid for, we will refund the amount reasonably attributable to the undelivered portion. These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes) are governed by the laws of the Hong Kong Special Administrative Region. You and XHealth submit to the non-exclusive jurisdiction of the Hong Kong courts.
